When board of directors documents are difficult to locate or confusing directors are less likely to meetings prepared to discuss strategy and take decisive action. This is particularly true if the meeting packet for the board arrives late or if updates are not communicated to the entire board in real time which can lead to confusion about what is „the right version” to look over.
Boards can also have a difficult time monitoring and supervise an organization if it doesn’t have sufficient information or director meetings in between. Board meetings that have unclear agenda items, a lack of background on strategic issues or a lot of unrelated discussion can make it difficult for the chair to get the meeting moving.

Some even have ad-hoc committees to help them address shorter-term, more urgent matters.
